      Terms & Conditions

      1. Introduction

      These Terms and Conditions (“Terms”) govern the use of Lernor Education’s (“Lernor”, “we”, “our”, or “us”) academic services, digital platforms, communications, materials, and institutional engagements.

      Lernor operates as an academic institution providing assessment-led educational guidance and support. These Terms apply to all students, parents or guardians, schools, educators, and any other individuals or entities engaging with Lernor, whether directly or indirectly.

      By accessing, enrolling in, paying for, or otherwise using Lernor’s services or platforms, you acknowledge that you have read, understood, and agreed to be bound by these Terms, together with any related policies referenced herein. Where services are used on behalf of a student, acceptance of these Terms is deemed to be given by the parent or guardian with appropriate authority.

      These Terms are intended to allocate responsibility clearly, establish institutional boundaries, and protect Lernor’s academic, operational, and legal interests. No representations, assurances, or understandings outside these Terms shall be binding unless expressly agreed in writing by Lernor.

      2. Scope and Acceptance of Terms

      These Terms apply to all academic services, instructional sessions, assessments, materials, platforms, communications, scheduling arrangements, and institutional activities provided or facilitated by Lernor, whether delivered online, in person, or through any other medium.

      The use of Lernor’s services is conditional upon full acceptance of these Terms. Acceptance occurs upon any of the following: registration with Lernor; confirmation of enrolment; payment of fees; attendance at academic sessions; access to Lernor platforms or materials; or engagement in communications relating to Lernor’s services.

      Where services are engaged on behalf of a student, the parent or legal guardian represents and warrants that they have the authority to accept these Terms on the student’s behalf and assume responsibility for compliance with them. Lernor is entitled to rely on such acceptance without further verification.

      These Terms apply in addition to, and not in substitution for, any policies referenced herein, including the Privacy Policy and Cookies Policy. In the event of any inconsistency, these Terms shall prevail unless expressly stated otherwise.

      3. Nature of Services

      Lernor provides academic guidance, instructional support, and assessment-led advisory services. Lernor does not act as a school, examination board, accrediting authority, or awarding body, and does not exercise control over external assessment, grading, admissions, or certification outcomes.

      All services are delivered on a best-efforts basis and are advisory in nature. Lernor’s role is limited to providing academic support, structured guidance, feedback, and institutional expertise. Final academic decisions, submissions, and actions remain the sole responsibility of the student.

      Lernor does not submit academic work on behalf of students, does not guarantee alignment with any particular assessment outcome, and does not assume responsibility for how guidance is implemented, interpreted, or applied by a student.

      Nothing in these Terms shall be construed as creating an obligation on Lernor to deliver any specific academic result, grade, score, ranking, or outcome.

      4. Academic Responsibility and Integrity

      Students remain solely responsible for their academic work, submissions, decisions, and compliance with the rules, requirements, and academic integrity standards of their respective schools, examination boards, or institutions.

      Lernor provides guidance, feedback, and academic support only. Lernor does not author, complete, submit, or represent student work as its own, and does not accept responsibility for the originality, authenticity, or final content of any academic submission.

      Students are expected to use Lernor’s services in a manner consistent with academic honesty and institutional expectations. Lernor reserves the right to refuse, suspend, or terminate services where it determines, in its reasonable judgment, that continued engagement may compromise academic integrity or institutional standards.

      5. No Guarantee of Results

      Lernor makes no representations, warranties, or assurances regarding academic outcomes, examination results, grades, scores, rankings, admissions decisions, or any other external determinations.

      Academic outcomes are influenced by multiple factors beyond Lernor’s control, including a student’s individual effort, prior preparation, engagement, independent work, assessment conditions, institutional policies, and the judgment of external examiners or authorities. Accordingly, no outcome or result is guaranteed, implied, or promised by Lernor.

      Payment for, enrolment in, or participation in Lernor’s services shall not be construed as creating any entitlement to a particular academic outcome or advantage. Lernor shall not be liable for any dissatisfaction arising from results that do not meet expectations.

      6. Use of Platforms, Materials, and Services

      Access to Lernor’s platforms, academic materials, systems, and services is granted solely for the purpose of participating in Lernor’s educational offerings and is subject to continued compliance with these Terms.

      All materials, content, frameworks, methodologies, recordings, and resources provided by Lernor are intended for the personal and non-transferable use of the enrolled student or authorised user only. Such materials may not be copied, shared, distributed, recorded, reproduced, modified, or used for any commercial or third-party purpose without Lernor’s prior written consent.

      Lernor reserves the right to monitor use of its platforms and services to ensure compliance with these Terms, to maintain academic and institutional standards, and to protect system integrity. Misuse, unauthorised access, or conduct inconsistent with Lernor’s policies may result in restriction, suspension, or termination of access without refund or compensation.

      Lernor does not guarantee uninterrupted or error-free access to its platforms or services and may modify, suspend, or discontinue any aspect of its services or systems where necessary for academic, operational, or institutional reasons.

      7. Fees, Payments, Scheduling, Session Validity, and Professional Conduct

      All fees for Lernor’s services are payable in full and in advance. Unless expressly agreed otherwise in writing, payment must be received by Lernor no later than three (3) days prior to the commencement of the first scheduled academic session. Lernor reserves the right to withhold, delay, modify, reschedule, or cancel services where payment has not been received within the prescribed timeframe.

      All payments made to Lernor are strictly non-refundable. Once academic services have commenced, no refunds, credits, reversals, or chargebacks shall be issued for any reason, including but not limited to dissatisfaction, change of circumstances, non-attendance, or discontinuation of services by the student or parent.

      A minimum package of sessions, as determined by Lernor at the time of enrolment, is required to initiate services. Payment constitutes acceptance of the applicable academic arrangement, including session structure, schedule, and validity.

      Session Allocation and Validity

      Where services are purchased as a package, bundle, or fixed number of academic sessions, such sessions must be completed within the timeframe implied by the agreed schedule and session frequency, as communicated at the time of enrolment or confirmation.

      By way of example only, if a student agrees to attend two (2) academic sessions per week and purchases a package of ten (10) sessions, those sessions would ordinarily be expected to be completed within five (5) consecutive weeks. This example is provided solely for illustration. Actual session frequency, duration, and validity periods may vary from individual to individual based on the specific academic arrangement agreed with Lernor.

      Sessions not completed within the applicable agreed period shall automatically expire and shall not be carried forward, refunded, reinstated, replaced, or credited under any circumstances. Expired sessions may only be rebooked upon payment of additional fees at Lernor’s then-applicable rates.

      Scheduling, Cancellations, and Payment Delays

      Requests to cancel or reschedule a scheduled academic session must be communicated to Lernor at least forty-eight (48) hours in advance of the scheduled session time. Failure to provide timely notice will result in the session being deemed delivered and charged in full, without refund or replacement.

      Where payment is received late or after the prescribed deadline, Lernor reserves the right to adjust, reassign, or modify scheduled sessions, including session timing, tutor allocation, or availability. Any inability of the student to attend a rescheduled session resulting from delayed payment shall not give rise to any refund, credit, or compensation.

      Repeated cancellations, non-attendance, delayed payments, or conduct that disrupts academic scheduling or institutional operations may result in forfeiture of sessions, additional charges, suspension of services, or termination without refund, at Lernor’s discretion.

      Tutor Availability and Dissatisfaction

      If an assigned tutor or educator becomes unavailable due to circumstances on Lernor’s side, Lernor may, at its discretion, offer alternative arrangements or replacement options. The provision of a replacement does not entitle the student to a refund, nor does dissatisfaction or preference for a different tutor create any entitlement to terminate services without financial obligation.

      Professional Conduct

      Students and parents are required to engage with Lernor’s educators, staff, and representatives in a professional and respectful manner at all times.

      Lernor reserves the right, at its sole discretion, to suspend or terminate services without refund or compensation where it determines that conduct is rude, abusive, disrespectful, inappropriate, disruptive, or otherwise inconsistent with professional academic engagement. Such determinations may be made immediately and without prior warning where necessary to protect educators, staff, or institutional standards.

      Termination under this section shall not give rise to any refund, credit, reinstatement, or continuation of services.

      9. Limitation of Liability

      To the fullest extent permitted by applicable law, Lernor shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of academic opportunity, loss of data, loss of anticipated results, or reputational harm, arising out of or in connection with the use of Lernor’s services, platforms, materials, or communications.

      Lernor’s total aggregate liability, whether in contract, tort, negligence, or otherwise, shall in all circumstances be limited to the total fees actually paid to Lernor for the specific services giving rise to the claim. Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by law.

      10. Indemnification

      You agree to indemnify, defend, and hold harmless Lernor, its directors, officers, employees, educators, consultants, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:

      • your use or misuse of Lernor’s services, platforms, or materials;
      • any breach of these Terms or applicable policies;
      • any violation of academic integrity rules, institutional regulations, or applicable laws; or
      • any claim arising from academic work, submissions, or actions taken by a student based on guidance provided by Lernor.

      This indemnification obligation shall survive the completion, suspension, or termination of services.

      11. Suspension, Termination, Non-Circumvention, and Remedies

      Lernor reserves the right, at its sole discretion, to suspend, restrict, or terminate access to services, platforms, materials, or institutional engagement without refund or compensation where it determines that a student, parent, guardian, educator, or other user has breached these Terms, misused services, violated academic integrity or professional standards, or otherwise acted in a manner detrimental to Lernor’s academic, operational, or institutional interests.

      Non-Circumvention and Non-Solicitation

      All academic services facilitated by Lernor are arranged, coordinated, and delivered exclusively through Lernor’s institutional systems and processes. Students, parents, guardians, educators, and academic professionals acknowledge that Lernor’s role as the facilitating institution is fundamental and agree not to bypass, circumvent, or undermine such role under any circumstances.

      Accordingly, during the period of engagement with Lernor and for a period of twenty-four (24) months following the final date of service, no student, parent, or guardian shall, directly or indirectly:

      • contact, solicit, engage, or receive academic services from any tutor, educator, examiner, or academic professional introduced, assigned, or facilitated by Lernor, other than through Lernor; or
      • establish, continue, or attempt to establish any academic or professional relationship outside of Lernor’s services, whether paid or unpaid, formal or informal.

      Any attempt to circumvent Lernor’s institutional role shall constitute a material breach, irrespective of whether such engagement is temporary, informal, unpaid, or framed as personal assistance.

      Tutor and Educator Obligations

      Educators, tutors, and academic professionals engaged by Lernor shall not, directly or indirectly, contact, solicit, or provide services to any student or family introduced through Lernor outside of Lernor’s institutional framework, whether during engagement or for a period of twenty-four (24) months thereafter.

      Any breach of this obligation shall constitute a material breach and may result in immediate termination of engagement, forfeiture of unpaid or pending fees, and liability for damages, including loss of business, institutional harm, and reasonable legal expenses incurred by Lernor.

      Remedies, Compensation, and Enforcement

      In the event of any breach of this section, Lernor reserves the right to pursue all remedies available under applicable law or equity, including but not limited to:

      • immediate termination of services and forfeiture of remaining sessions or fees;
      • recovery of damages, losses, and costs suffered by Lernor as a result of the breach;
      • injunctive or equitable relief to prevent or restrain further breach; and
      • any other lawful measures necessary to protect Lernor’s academic, operational, and institutional interests.

      The exercise of any remedy by Lernor shall not preclude the exercise of any other remedy available to it.

      12. Third-Party Services and External Platforms

      Lernor’s services may involve or rely upon third-party platforms, tools, communication systems, or service providers that are not owned or controlled by Lernor. Such third-party services are provided for operational or academic convenience only. Lernor does not control, endorse, or assume responsibility for the availability, performance, security, or content of any third-party services or platforms. Use of such services is subject to the terms, policies, and practices of the relevant third parties, and Lernor shall not be liable for any loss, disruption, or damage arising from their use.

      Where access to third-party platforms is required to facilitate academic services, Lernor’s responsibility is limited to coordination and institutional oversight within its own systems.

      13. Data Protection

      Lernor processes personal and academic information in accordance with its Privacy Policy and Cookies Policy, which form an integral part of these Terms. By engaging with Lernor’s services, you acknowledge that such processing is carried out as described in those policies.

      Nothing in these Terms shall be construed as limiting Lernor’s rights or obligations under applicable data protection laws or its Privacy Policy.

      14. Governing Law and Jurisdiction

      These Terms shall be governed by and construed in accordance with the laws applicable to Lernor’s principal place of business, without regard to conflict of law principles. Any dispute, claim, or proceeding arising out of or in connection with these Terms, Lernor’s services, or the relationship between the parties shall be subject to the exclusive jurisdiction of the competent courts determined in accordance with such governing law, unless otherwise required by applicable law.

      15. Modifications to These Terms

      Lernor reserves the right to amend, revise, or update these Terms from time to time to reflect changes in legal requirements, institutional practices, academic services, or operational needs.

      Any modifications shall become effective upon publication or communication through Lernor’s official channels, unless otherwise required by applicable law. Continued use of Lernor’s services or platforms following such modifications constitutes acceptance of the revised Terms, to the extent permitted by law.

      16. Severability

      If any provision of these Terms is held to be invalid, unlawful, or unenforceable by a court or other competent authority, such provision shall be severed and the remaining provisions shall continue in full force and effect. Any invalid or unenforceable provision shall be replaced, to the extent possible, with a valid and enforceable provision that most closely reflects the original intent and purpose.
